Terms of Service

These terms govern use of Hazel Dash, business software operated by R.E.S.C.O. LLC ("we", "us"), a Florida limited liability company. "Customer" means the business that has an account with us, and "you" means the customer and each person who uses Hazel Dash on its behalf. By using Hazel Dash you agree to these terms, and signing in confirms that you do. If you are accepting them for a business, you confirm you are authorized to do so.

If the customer has a separate signed agreement with us, that agreement controls where it differs from these terms.

1. Accounts

• Accounts are issued by us to a customer and the staff it names. Each person must use their own account and keep their password private.
• The customer is responsible for who it gives access to, for the roles it assigns, and for what happens under its accounts. Tell us promptly at support@hazeldash.com if you believe an account has been misused.
• The customer should remove access for anyone who no longer works for it.

2. Your information

• The customer owns the business information it puts into or connects to Hazel Dash.
• The customer gives us permission to store and process that information only as needed to provide, secure, support and improve Hazel Dash, as described in our Privacy Policy.
• The customer is responsible for having the right to use the information it brings into Hazel Dash, including information about its own clients, and for giving any notices its clients are owed.
• When a customer stops using Hazel Dash, it may ask us in writing for a copy of its business information within 30 days, and we will provide it in a common format. After that, we delete it as described in the Privacy Policy.

3. Connected services

Hazel Dash can connect to other services, such as QuickBooks Online and Slack. Those services are provided by other companies under their own terms, which the customer is responsible for following. A connection is made only when the customer's owner approves it. With QuickBooks and Slack, Hazel Dash only reads information; it does not create, change or delete anything in them. We are not responsible for those services, for changes their providers make, or for information that is wrong in them.

4. The Ask Hazel assistant

The assistant uses artificial intelligence to answer questions and draft text. Its answers can be incomplete or wrong. Check anything important before you rely on it, including amounts, dates, insurance and billing details, and anything you send to a client or carrier. The assistant does not give legal, financial, tax or insurance advice, and it does not take actions on your behalf.

5. Acceptable use

You agree not to:

• use Hazel Dash for anything unlawful, or to store information you have no right to hold;
• try to reach another customer's information, or test, probe or get around our security;
• interfere with the service, overload it, or use automated tools to access it except through features we provide for that purpose;
• copy, resell or reverse engineer Hazel Dash, or use it to build a competing product;
• share your sign-in with anyone else.

6. The service

Hazel Dash is under active development. We may add, change or remove features. Some screens show sample information until the matching connection is in place, and they are labeled that way. We work to keep Hazel Dash available, but it may sometimes be unavailable for maintenance or for reasons outside our control.

7. Fees

Fees, if any, are as agreed in writing between the customer and us.

8. Ownership and feedback

We own Hazel Dash, including its software, design and content, apart from the customer's own information. If you send us suggestions, we may use them without any obligation to you.

9. Suspension and ending

The customer may stop using Hazel Dash at any time by telling us. We may suspend or end access if these terms are seriously broken, if needed to protect the service or other customers, or if required by law. Where reasonable, we will give notice first. Sections 2, 8, 10, 11, 12 and 13 continue after the account ends.

10. Disclaimer

Except as expressly stated in these terms, Hazel Dash is provided "as is" and "as available", without warranties of any kind, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not promise the service will be error free or uninterrupted, or that information shown in it, including information from connected services, is complete or accurate.

11. Limitation of liability

To the fullest extent the law allows, neither party is liable to the other for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, even if told they were possible. Our total liability arising from Hazel Dash or these terms is limited to the greater of the fees the customer paid us in the 12 months before the claim arose, or one hundred US dollars. These limits do not apply where the law does not allow them.

12. Indemnity

The customer will defend and hold us harmless from claims by third parties that arise from information the customer brings into Hazel Dash without the right to do so, or from use of Hazel Dash that breaks these terms or the law.

13. Governing law

These terms are governed by the laws of the State of Florida, without regard to its conflict of law rules. Any dispute will be resolved in the state or federal courts located in Florida, and both parties agree to their jurisdiction.

14. Changes

We may update these terms. We will post the new version here with a new effective date, and notify customers of material changes before they take effect. Continuing to use Hazel Dash after that means you accept the updated terms.
